Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of PRA Center. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

This document is a draft placeholder and has not yet been reviewed by counsel. It will be replaced with final, counsel-approved language before public launch.

What PRA Center is — and is not

PRA Center is software that helps your team organize, file, track, and escalate public records requests. It provides software assistance, not legal advice.

PRA Center is not a law firm, does not practice law, and does not provide legal advice. Use of the service does not create an attorney–client relationship. You are responsible for any decisions you make and for consulting a licensed attorney where you need legal advice.

Accounts and eligibility

  • You must provide accurate account information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You must have the authority to act on behalf of any organization you represent in the service.

Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to the service, other accounts, or related systems.
  • Interfere with or disrupt the integrity or performance of the service.
  • Misrepresent your identity or submit knowingly false or fraudulent records requests.

Your content and responsibility

You retain ownership of the content you submit. You are solely responsible for the accuracy, legality, and appropriateness of the requests, correspondence, and documents you create or send using the service. PRA Center does not review your requests for legal sufficiency.

Service availability and changes

We may modify, suspend, or discontinue any part of the service at any time. We aim to give reasonable notice of material changes where practical, but we do not guarantee uninterrupted availability.

Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, PRA Center will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the service. The full scope of this limitation will be confirmed by counsel.

Governing law

These Terms will be governed by the laws of the jurisdiction to be specified upon counsel review, without regard to its conflict-of-laws rules.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
